Terms of Service

These Terms of Service ("Terms") govern your use of the website at hiddenite.uk and, unless otherwise superseded by a separate written agreement, apply to digital services provided by Hiddenite Limited ("Hiddenite", "we", "us"). By using this website or engaging our services, you acknowledge and accept these Terms.

1. About us

Hiddenite Limited is a company registered in England and Wales. Our registered office is at 3rd Floor, 86–90 Paul Street, London, England, United Kingdom, EC2A 4NE. References to "services" include website design and development, AI application development, website security, digital consulting, maintenance, and related technical services.

2. Website use

You may use this website only for lawful purposes and in a manner that does not damage, disable, overburden, or impair the website or interfere with any other user's use.

  • You must not attempt unauthorised access to systems, servers, or data
  • You must not introduce malware, malicious scripts, or harmful code
  • You must not scrape, crawl, or extract content without written permission
  • You must not reproduce or commercially exploit content without consent
  • You must not use the website in breach of any applicable law

We may restrict or suspend access where reasonably necessary to protect our systems, users, or legal and commercial interests.

3. Service engagements

Specific engagements are governed by a proposal, quotation, statement of work, invoice, onboarding document, or written agreement ("Engagement Agreement"). These Terms apply in addition to any Engagement Agreement unless expressly overridden. In the event of conflict, the Engagement Agreement takes precedence.

4. Client responsibilities

You are responsible for ensuring that all materials, instructions, credentials, and content provided to us are accurate, lawful, and that you hold appropriate rights to use and share them.

We are not responsible for delays, defects, or losses arising from incomplete, inaccurate, or unlawful materials provided by you or third parties acting on your behalf.

5. Free and promotional services

From time to time, we may provide access to free, trial, beta, or otherwise non-chargeable services, features, or tools ("Free Services"). These may include early access features, experimental tools, or promotional offerings.

Free Services are provided on an "as available" basis and do not form part of any guaranteed service level or contractual obligation unless expressly stated otherwise in writing.

We reserve the right to modify, suspend, or discontinue any Free Service at any time, with or without notice. Where a Free Service is withdrawn or materially changed, we may, at our discretion, offer a paid alternative or successor service. Any such replacement will be subject to separate commercial terms and applicable fees.

Nothing in this clause entitles any user or client to continued access to any service without charge where that service was originally provided free of charge or on a promotional basis.

6. Intellectual property

All website content, branding, code, systems, methodologies, and pre-existing materials remain the intellectual property of Hiddenite Limited or its licensors unless expressly agreed otherwise.

Upon full payment, clients receive ownership or a licence to bespoke deliverables as defined in the relevant Engagement Agreement. Hiddenite retains ownership of all reusable frameworks, tools, libraries, and know-how used in the delivery of services.

7. Fees and payment

Fees are defined in the relevant Engagement Agreement or invoice. Unless otherwise agreed, invoices are payable within 7 days. We may suspend or pause services for overdue payments and charge statutory interest and recovery costs where applicable.

8. Confidentiality

Both parties agree to keep confidential all non-public information disclosed during the course of any engagement, except where disclosure is required by law or agreed in writing.

9. Third-party services

Our services may rely on third-party providers such as hosting, APIs, plugins, analytics tools, or infrastructure services. We are not responsible for outages, changes, or failures caused by third-party systems.

10. Security services

Security and remediation services are performed to reduce known vulnerabilities at the time of engagement. They do not guarantee immunity from future attacks or vulnerabilities. Ongoing security depends on continued maintenance, updates, and proper system administration.

11. Warranties and availability

Services and website content are provided on an "as is" and "as available" basis. We do not guarantee uninterrupted availability or error-free operation.

12. Limitation of liability

To the fullest extent permitted by law, Hiddenite Limited shall not be liable for any indirect, incidental, consequential, or economic loss including loss of profits, data, business, or reputation.

Our total liability shall not exceed the total fees paid or payable under the relevant engagement in the 12 months preceding the claim.

Nothing in these Terms excludes liability for fraud, death or personal injury caused by negligence, or any liability that cannot be legally excluded.

13. Indemnity

You agree to indemnify Hiddenite against claims arising from materials supplied by you, unlawful use of deliverables, or breach of these Terms.

14. Termination

Engagements may be terminated in accordance with the applicable agreement. We may suspend or terminate services for breach, non-payment, or abusive conduct.

Upon termination, all outstanding fees and committed costs become immediately payable.

15. Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including infrastructure outages, cyber incidents, supplier failures, or natural events.

16. Governing law

These Terms are governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
